1. Scope and formation of the contract

These Terms govern App Rings (the “Service”), provided by MEMENTO, LLC (“we” or “us”). The Service is an analytics service for businesses developing and operating Shopify apps. It is intended for business use by companies, sole proprietors and other business operators. By registering, you confirm that you are using it for business purposes, agree to these Terms and acknowledge the Privacy Policy. The service agreement is formed when we make your account available. Anyone registering on behalf of a company must have authority to do so.

The Pricing page, order screen and Commerce Disclosure also form part of the contract. Price, cancellation and refund conditions displayed for a specific offer prevail over the general provisions of these Terms on those matters. The Privacy Policy governs personal information. Nothing limits rights under mandatory applicable law.

Describing the Service as business-to-business, or declaring business use, does not by itself remove consumer status or protections under applicable law. Actual use and applicable law determine that status.

2. The Service

We aggregate and display app revenue, subscriptions, installs and other metrics based on events and transactions obtained from the Shopify Partner API. Optional GA4 integrations and AI questions using your own API key are available. You provide the necessary external accounts, permissions and internet connection.

App Rings is operated independently of Shopify Inc. and is not an official Shopify service. Email delivery and other features under development or not yet publicly available are excluded from the contracted features until separately released. Affiliate tools are provided as described in Section 8-2.

3. Accounts and organizations

Sign in using Google or GitHub. You must safeguard your credentials and provide accurate information. Using another person’s account or sharing accounts is prohibited. Use member invitations for collaboration. Organization owners must appropriately manage invitations, permissions, paid subscriptions, cancellations and disconnections.

4. API credentials and data

We act as your service provider to obtain, store and aggregate data using the credentials you register. You must be authorized under your agreements with Shopify and other providers to register those credentials and entrust processing to us. Credentials are stored encrypted and used only to provide the Service.

We use the Shopify Partner API only for queries to retrieve information. We do not execute mutations to create, modify or delete data, change or cancel Shopify app subscriptions, or issue Shopify app credits. Shopify’s Manage apps and View financials permissions also permit some write operations; the token itself is not read-only. This statement concerns the Shopify Partner API. Changes to App Rings settings and Stripe billing or cancellation operations are separate.

Data we obtain, including aggregates and derived data, is used only as necessary to provide the Service to you. We do not sell it, use it for advertising or competitive benchmarking against other customers, or use it to train or improve machine learning or AI models. Necessary processing by service providers, integrations you instruct and legally required disclosures are governed by the Privacy Policy. We maintain the protection required by Shopify’s API terms and Partner Program Agreement.

5. Fees, free period and automatic renewal

Fees are charged per organization monthly or annually. The required plan is determined from average MRR over the preceding 90 days, or the available days if fewer than 90, across the whole organization including hidden apps and stores excluded from reports. Prices and tiers appear on the Pricing page. Annual billing is one upfront payment for a year at ten times the monthly price.

The first 14 days from the organization’s initial registration are free; registering again does not restart this period. After that, the Free plan requires an organization-wide 90-day average MRR below $1,000 and no more than 1,000 current installations across selected apps. A store using multiple apps counts once for each app. Exceeding the installation limit requires Starter or higher. Billing does not begin unless you apply for a paid subscription. If you exceed the free conditions without a paid subscription, or still exceed them after a paid subscription ends or payment fails, we pause new analysis imports, AI and other paid features. If you qualify for Free again, you can continue within its limits. Saved reports, billing, Settings and sign-out remain available. Updates resume after payment or verified eligibility for Free.

A paid subscription starts after you select a plan and complete Stripe’s subscription process. When subscribing during the free period, charges begin on the first billing date shown at checkout. Unless canceled, monthly subscriptions renew every month and annual subscriptions every year, with charges to the registered card at the start of each billing period. There is no maximum number of renewals; total payments depend on duration and the applicable plan. Your card issuer determines the actual account debit date.

We normally review required plans based on MRR and installation counts daily (for inactive organizations under Section 7-2, after a basic information check); a changed price applies from the next invoice without proration at the time of the change. You may subscribe only to the required paid plan. If the required plan decreases, the corresponding price applies from the next invoice. If you qualify for Free again, the paid subscription normally ends at the end of the current billing period. Check Plan & billing for your plan and next renewal date.

Moving between tiers of the existing price schedule is distinct from changing the price schedule itself. Before changing the schedule, we give advance notice of the change and its effective date, and obtain any required consent or follow other legally required procedures. We do not retroactively charge extra for a paid period.

Fees are in USD; prices displayed for Japan include consumption tax. Checkout shows applicable tax treatment outside Japan and the final amount. You bear card issuer conversion and international transaction fees, internet charges, and optional AI API, Google Cloud or other external charges. AI cost estimates shown in the Service do not guarantee actual charges or spending caps.

VAT, GST and similar taxes outside Japan depend on location, business or consumer status, the transaction and applicable law. Provide accurate billing details and, where needed for tax purposes, business details and tax identification numbers. Taxes for which you are legally responsible, such as under an applicable reverse-charge mechanism, remain subject to those rules. This does not transfer our own registration, collection or payment obligations to you. We are the seller; using Stripe to process payments does not make Stripe the seller.

Both upgrades and downgrades are automatic and do not require you to select a plan again. Monthly subscriptions are charged at the rate determined for the next monthly renewal; annual subscriptions at the rate determined for the next annual renewal. A plan change within the same billing interval does not result in an additional charge or a refund of the difference for a period already paid for, subject to the refund exceptions in Section 6.

If a period-end cancellation was set automatically because you qualified for Free, we may automatically remove that cancellation and continue the subscription if you require a paid plan again before it ends. This determination does not revoke a cancellation you requested yourself. Once a paid subscription has ended, an increase in MRR alone does not start a new paid subscription; you must subscribe again.

6. Cancellation and refunds

To cancel, open the Stripe customer portal from Plan & billing and complete cancellation before the next renewal. Generally, the subscription ends at the end of the current free or paid period and subsequent renewal charges stop. Check the end date in the portal. There is no minimum number of renewals or cancellation penalty. If you cannot use the portal, contact us before renewal. Signing out or ceasing use does not cancel a subscription.

Because this is a digital service, fees already paid are non-refundable if you cancel for your own reasons, do not use the Service or disconnect your organization. This includes prorated daily or monthly refunds. Exceptions include duplicate or incorrect charges, failure to provide the Service attributable to us, a failure to conform to the contract that we cannot remedy within a reasonable time, termination of the Service at our initiative, or any other case where applicable law requires a refund or other remedy. Depending on the circumstances, we will remedy the issue, reduce the fee, refund fees for any period in which the Service was not provided, or refund the incorrect charge. Contact us with your organization ID, payment date and details of the issue. Do not send card numbers or API keys.

If you contract as a consumer and applicable law gives you a right to withdraw, cancel or rescind, that right takes precedence over our period-end cancellation and refund restrictions. For EU and UK consumer distance contracts for services, a statutory right to withdraw without giving a reason generally lasts 14 days from conclusion of the contract where the relevant rules apply. The period may be extended if required information is missing. Applicable law determines which contracts are covered, when the period starts and any exceptions. This right is separate from our 14-day free period.

To withdraw, send a clear statement of your decision before the deadline to info@app-rings.com or the postal address in Section 15. No particular form or reason is required. Your name, account email and identification of the contract help us locate it. Other legally permitted methods remain available. Under the applicable EU or UK withdrawal rules, refunds are generally made within 14 days after we receive your notice, using the original payment method unless you expressly agree otherwise, without a refund fee.

Starting to use this ongoing service does not, by itself, waive a statutory withdrawal right. We charge for services provided during the withdrawal period only where you expressly requested early performance, the required information and other legal conditions were satisfied, and applicable law permits a proportionate charge. We do not automatically deduct usage charges if those conditions were not met.

7. Organization disconnection and account deletion

Disconnecting an organization in Settings stops access to that organization and starts termination of its paid subscription and deletion of its data. Unlike ordinary period-end cancellation, you lose use of that organization’s data even if paid time remains. Credentials, imported data and aggregates are deleted in stages and cannot be restored. Processing may take time. Section 6 governs refunds.

We retain minimal organization ID, plan determination, free-period and suspension records to prevent repeated free periods for the same organization. Contact us to request deletion of your account itself. The Privacy Policy governs legally required retention of payment and other records.

7-2. Analysis scope, pauses and resumption

For apps not selected in Settings, imports and updates of detailed reports, transaction details, GA4 and store information pause. Events and MRR calculations needed for billing and to check free eligibility and activity continue across the entire organization, including unselected and paused apps. Deselecting an app does not reduce its MRR for billing.

Daily detailed analysis pauses for an app after 60 days without installations, active subscriptions or new activity. If the whole organization is inactive with no apps eligible for detailed updates, basic information checks are reduced to approximately once a week. If other apps are active, checks occur during normal synchronization.

Updates resume, subject to eligibility, when you select an app and save, request Resume updates, or when we detect new activity, confirm payment or verify your eligibility for Free. A manual resume request alone does not create a paid subscription or a new charge, or remove payment and usage restrictions. If there is still no activity after a manual resume, the app may be paused again after the 60-day resume period.

The interface shows update status, reasons for pauses, last-update timestamps and how to resume. Accepting a resume request does not immediately update reports: saved figures remain visible until import and aggregation finish. Timing depends on data volume and processing allowances. A pause or processing delay alone does not delete saved source data.

Pausing analysis or deselecting apps does not cancel a paid Stripe subscription or stop all data retrieval by us. To cancel a paid subscription, follow Section 6; to disconnect the organization and delete its data, follow Section 7. Fee reviews and refunds are governed by Sections 5 and 6.

GA4 is imported only on Starter or higher paid plans, during the introductory free period or under an exemption granted by us, and only for apps with saved mappings that are selected and eligible for updates. When none of these applies, new imports stop and imported aggregates remain viewable. GA4 imports also stop while analysis is paused. On resumption, imports cover the recent supported period still available at the source; the current backfill window is at most 60 days. Data expired at the source cannot be recovered. This does not mean that the Google connection itself expires after 60 days.

App usage (GA4) is fetched from the configured property when a report is opened, only while the plan, free-period or exemption conditions above are met. App Rings does not store this usage data, so it cannot remain available as a saved report after eligibility ends. On Free, the descriptions in both GA4 settings sections remain readable, but new connections, saving settings and data retrieval are unavailable.

8. Optional integrations and AI

GA4, BigQuery and AI use is also subject to the providers’ terms. Before including third-party personal information or confidential information in questions or attachments, confirm your authority and any necessary legal steps. AI responses may be incorrect; check the source data before making important decisions. External authentication, usage restrictions or outages may prevent integrations from working.

8-2. Affiliate programs and marketplace

Organizations on the Starter plan or higher (including free exceptions we grant) can create affiliate programs, recruit affiliates through signup pages and the marketplace, and track referral link clicks, commissions calculated from referred revenue, and planned payouts. For programs listed in the marketplace, the app name, icon, organization name, commission terms and description are public, including to people who are not signed in.

Any agreement about an affiliate program (commission rate, duration, payout terms, etc.) is between the user operating the program (the "program operator") and the affiliate; we are not a party to it. Program operators pay commissions themselves, for example via PayPal; we do not send, process or guarantee payouts. Calculated commissions are estimates, and program operators should review them before paying. Program operators are responsible for describing their programs accurately, approving or rejecting applications, contacting and paying affiliates, and handling affiliates’ personal information in accordance with applicable law.

By applying as an affiliate, you agree that the email address of your signed-in account and the name, PayPal email, entity type, website and promotion plan you enter will be provided to the program operator. Affiliates must not use false or exaggerated claims, spam, unauthorized use of others’ trademarks or names, self-referrals, fraudulent clicks or other means of obtaining commissions improperly, or promotion that violates the terms of the Shopify App Store or other channels. We may hide or suspend listings and applications that may violate the law or these Terms without notice.

9. Intellectual property and prohibited conduct

Intellectual property in the Service’s software, screens and text belongs to us or the rightful owner. Rights in your data do not transfer to us. You must not violate laws, access systems without authorization, misuse credentials, impose excessive load, infringe others’ rights, improperly avoid fees, or unlawfully copy or resell the Service.

10. Limits, suspension and termination

To provide a stable service, processing volumes and frequencies are limited on both free and paid plans. Manual sync is available once every 24 hours on Free, and once per hour on paid plans, during the introductory free period or under an exemption granted by us. Full-history refetch is available once every 30 days.

Large imports are split into batches. Work exceeding the daily allowance for an organization continues on scheduled runs on subsequent days, retaining progress and saved data. We do not promise real-time updates or completion of every import on the same day. Paid subscriptions also have processing allowances.

Standard safety limits are 250,000 cumulative events per organization and 50,000 GA4 rows per property per day. Exceeding these limits pauses the affected import or aggregation with an on-screen explanation. Unlike a daily allowance that resets for a later run, a safety-limit pause requires us to review the volume and determine how to proceed. Taking out a paid subscription alone does not remove these safety limits.

Saved reports remain available during an analysis update pause. Access may separately be restricted for unauthorized access, a breach of these Terms, organization disconnection or another applicable reason. Changes to usage conditions and limits follow Section 13; changes to the price schedule also follow Section 5.

We may restrict or suspend use as necessary for a breach or usage far beyond the normal range. Ordinarily we explain the reason and provide an opportunity to remedy it; emergencies such as unauthorized access may require suspension first and notification afterwards. We give advance notice of maintenance and other interruptions where possible.

If we end the Service at our initiative, we give advance notice of the end date, how you can retrieve your data and how fees will be handled. Section 6 governs amounts for unprovided periods and other remedies.

11. Warranties and limits of liability

Metrics are for analysis, not accounting, tax or financial statements. Synchronization timing, available history and calculation definitions can produce differences from other services. We do not guarantee revenue, profit or continued availability of external services. External outages do not automatically relieve us of liability where we are responsible.

Each analytics page explains its calculation methods, data sources, reporting periods, inclusion and exclusion rules, and estimation limitations below its charts or summary tables. Methods shared by several charts may be grouped in one explanation section on the same page. Review these explanations and your selected settings when using MRR, churn, retention, ARPU, LTV, payout, GA4 or other metrics.

Displayed values depend on the selected apps and shops, date range, time zone, options such as frozen subscriptions and usage charges, available history and synchronization progress. Billing MRR uses the organization-wide 90-day average described in Section 5 and may differ from the MRR for the apps or dates selected on screen.

Missing, unavailable, partially synchronized or unreconciled data does not mean a confirmed zero or a confirmed payout. Follow the on-screen notes where gross amounts substitute for unreconciled net amounts, or where future charges, payouts, LTV or other values are estimates. Use original Shopify, Stripe or other provider records to confirm amounts for accounting and tax purposes.

We investigate and fix calculation errors and reflect corrections to source data, recalculating where necessary. Ordinary later events do not retroactively rewrite historical subscription states, but bug fixes or recovery of missing data may correct historical displayed values. We explain material changes to metric definitions and when they apply; changes to contractual conditions also follow Section 13. These explanations do not provide a blanket exclusion of liability for our calculation or billing errors.

For loss caused by our ordinary negligence, our liability is limited to ordinary, direct loss and to the total fees we received for the Service in the 12 months before the loss. These limits do not apply to our willful misconduct or gross negligence. Neither the type-of-loss nor the monetary limitation in this paragraph applies to a consumer contract. Nothing limits liability imposed by mandatory law or statutory remedies such as refunds or price reductions.

12. Anti-social forces

Both parties represent that they are not anti-social forces and will not engage in violent demands, threats, fraud, damage to reputation or obstruction of business. If a party breaches this representation, the other may terminate the contract in accordance with law.

13. Changes and notices

We may amend these Terms under Article 548-4 of Japan’s Civil Code only where the amendment benefits users generally, or is consistent with the contract’s purpose and reasonable in light of its necessity, appropriateness and other circumstances. Otherwise we obtain necessary consent.

In principle, we notify users of the changes and effective date at least 14 days in advance by posting in the Service, email or another appropriate method, and follow all legally required notice periods and methods. Continued use alone does not substitute for legally required consent.

14. Governing law, jurisdiction and other provisions

These Terms and the service agreement are governed by Japanese law. If you are a consumer, this choice does not deprive you of protections provided by mandatory provisions of the law of your country of habitual residence or other laws that apply under the relevant conflict-of-laws rules.

The Sapporo District Court is an agreed court of first instance for disputes arising out of or relating to these Terms or the Service. This does not restrict a consumer’s right under applicable law to bring proceedings in their country of residence or another competent jurisdiction. Mandatory rules governing where we may bring proceedings against a consumer also take precedence.

If a provision is invalid, the others remain effective to the extent permitted by law. Neither party may assign its position under the contract without the other party’s prior consent, unless otherwise permitted by law. If translations differ, the Japanese text is the reference for interpretation. This does not limit mandatory rights to clear information, interpretation in a consumer’s favor, or other protections under applicable law.
